Terms of Use
Last updated November 7, 2026
01Who we are and accepting these terms
Waypoint Market (the "Site") is operated by Waypoint Specialty ("Waypoint Specialty," "we," "us"). By registering for, accessing or using the Site, or by submitting any information through it, you agree to these Terms of Use on your own behalf and on behalf of the organization you represent, and you confirm that you are authorized to do so. If you do not agree, do not use the Site.
02No agreement or relationship until signed
Registering, submitting a niche, receiving any response or using any feature of the Site does not create a contract, broker-of-record appointment, agency, producer, sub-producer, joint-venture, partnership, fiduciary, advisory or other relationship between you or your organization and Waypoint Specialty. Waypoint Specialty has no obligation to you of any kind, including any obligation to review, respond to, quote, place, bind or service any risk or program, unless and until a written agreement is signed by authorized representatives of both parties, and then only to the extent set out in that agreement.
03Not an offer, quote or binder
Nothing on the Site, including any structure, layer, market pairing, capacity figure, percentage, status, timeline or message, is an offer to sell insurance, a quote, a binder, a certificate, evidence of coverage or a commitment of Waypoint Specialty or any insurer, reinsurer or other capacity provider. Coverage exists only when bound in writing by an authorized party.
04Indicative information only; no reliance
Structures and other outputs shown on the Site are generated for illustration from the information you provide and are indicative only. They may not reflect actual market appetite, availability, terms or pricing, and may change or be withdrawn at any time. Market names and categories describe types of capacity and do not imply the participation or commitment of any specific insurer or reinsurer. You must not rely on any output of the Site in making any business, underwriting, placement or financial decision, and any reliance is at your own risk.
Automated and AI-assisted outputs. Some outputs, including book reviews, program snapshots, market reads, draft documents and dictated text, are prepared with the help of automated and AI tools. They may contain errors or omissions, are for discussion only, and should be checked before you rely on them.
05No guarantee of placement, capacity, pricing or timing
Not every submission can be placed or supported. Waypoint Specialty does not guarantee that any niche will be accepted, that capacity will be available, or any particular terms, pricing, commission or result. Response times and timelines described on the Site, including "within 24 hours," are targets and not commitments.
06Your submissions
- You are responsible for the accuracy and completeness of everything you submit, and Waypoint Specialty may rely on it as submitted.
- You confirm that you are authorized to share the information you submit and that sharing it does not breach any confidentiality, contractual, privacy or legal obligation you or your organization owe to anyone else.
- Do not submit personal information about insureds or claimants, or any information you are not permitted to disclose.
- You grant Waypoint Specialty permission to use, store, copy and analyze your submissions to evaluate them and contact you; to share them with insurance and capacity markets and licensed partner brokers to evaluate, structure and place your program, as described in our Privacy Policy and subject to any confidentiality agreement between us; and to develop and improve its products, programs and services.
07Confidentiality, exclusivity and non-circumvention
Where you and Waypoint Specialty have signed a mutual non-disclosure agreement, including one signed on the Site, that agreement governs confidential information exchanged between us and prevails over these terms if they conflict. Before such an agreement is in place, Waypoint Specialty shares what you submit with capacity markets only as an anonymous summary, never with your name or company, and otherwise handles it in line with its Privacy Policy. Submitting does not by itself create any obligation of exclusivity, non-solicitation or non-circumvention on the part of Waypoint Specialty. Waypoint Specialty works with many agents, brokers, MGAs and capacity providers, and may already be evaluating, or may in future evaluate or develop, niches, programs or products that are similar to or compete with yours.
08Not advice
Nothing on the Site is insurance, legal, tax, accounting, regulatory or financial advice. You should obtain your own professional advice before acting on any information.
09Licensing and eligibility
Any placement is made only through appropriately licensed entities and only where permitted by applicable law, including state insurance licensing and surplus lines requirements. The Site is intended for insurance professionals and capacity providers acting in a business capacity and is not directed to consumers. You must be at least 18 years old to use the Site. You confirm that neither you nor your organization is named on, or owned or controlled by anyone named on, any U.S. sanctions list, including those kept by the Office of Foreign Assets Control.
10Accounts
- Two account types. Each login is either a submitter account, used to submit and track niches, or a capacity partner account, used to keep capacity profiles and respond to matched niches. A login cannot be both, and the account type cannot be changed after registration.
- Company email. You must register with, and keep, a company email address that you are authorized to use. Personal and disposable email addresses are not accepted.
- Security. You are responsible for keeping your login credentials secure and for all activity under your account.
- Capacity firm teams. Colleagues at the same firm can join as a team and see their firm's capacity profiles. Invite only people who work at your firm, and let us know when someone leaves so we can remove their access. Your firm is responsible for the people it invites.
- Pausing your account. You may pause your account from the Account page to stop reminder and digest emails. Nothing is deleted, and you can resume at any time.
- Deleting your account. You may delete your account at any time from the Account page. Deletion is permanent: it removes your login and the submissions, drafts, documents, capacity profiles and responses tied to it, and cannot be undone. Records of documents you signed electronically are kept as described in our Privacy Policy. If you registered as the wrong account type, delete that account and register again as the right type. Accounts with a submission already being placed must be closed through our team.
- Our rights. We may suspend or close accounts, and remove submissions or capacity profiles, at our discretion.
11Inviting and referring others
If you invite or refer someone, ask a colleague to sign an NDA, or give us anyone's contact details, you confirm that you are entitled to do so and that they would reasonably expect to hear from us. Do not use invitations or referral links to send unsolicited bulk messages. Waypoint Specialty does not pay fees, commissions or any other compensation for introductions or referrals made through the Site.
12Electronic signatures and records
You agree to do business with us electronically. Documents you sign on the Site, and notices and records we send by email or make available on the Site, are valid in electronic form, and your typed signature has the same effect as a handwritten one. If you sign for a company, you confirm that you are authorized to bind it. You may ask for a copy of any document you signed through our contact form.
13Our content and your feedback
The Site and its text, design, tools, software and outputs belong to Waypoint Specialty or its licensors. We give you a limited, revocable, non-exclusive, non-transferable license to use the Site and its outputs for your own business in dealing with Waypoint Specialty. You may not copy, resell, reverse engineer or build a competing service from the Site. If you send us suggestions or feedback, we may use them freely without any obligation to you.
14Third-party services
Some features rely on services run by others, such as meeting scheduling, email delivery, security checks and your browser's speech recognition. Those services are provided under their own terms, and we are not responsible for them.
15Disclaimer of warranties
The Site and all content and outputs are provided "as is" and "as available," without warranties of any kind, express or implied, including warranties of accuracy, completeness, availability, merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the Site will be uninterrupted, secure or error-free.
16Limitation of liability
To the fullest extent permitted by law, Waypoint Specialty and its affiliates, officers, employees and partners will not be liable for any direct, indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, revenue, business, opportunity, data or goodwill, arising out of or relating to the Site, any submission, any output or any reliance on them, however caused and even if advised of the possibility. Where liability cannot be excluded, our total liability for all claims relating to the Site is limited to one hundred U.S. dollars (US$100). These limits do not change the terms of any separate written agreement signed by both parties.
17Indemnity
You agree to indemnify and hold harmless Waypoint Specialty and its affiliates, officers and employees from any claim, loss or expense arising from information you submit, people you invite or refer, your breach of these terms, or your misuse of the Site.
18Capacity partners
Submitting a capacity profile, being approved, seeing matched niches, marking a niche Interested, attending any meeting, or receiving any information from Waypoint Specialty creates no commitment, obligation or relationship for either party, including any obligation to provide, accept or allocate capacity, and no exclusivity. Any information Waypoint Specialty shares about niches, programs or submitters is confidential, indicative and unverified, may be used only to evaluate a potential relationship with Waypoint Specialty, and may not be used to approach, solicit or deal with any submitter or program other than through Waypoint Specialty. Matched niches are shown in anonymized form, and match scores are automated and indicative only. Any capacity arrangement exists only under a written agreement signed by both parties.
19Fair use and automated access
You may not use bots, scripts, scrapers or other automated means to register, submit, apply or access the Site, or submit information in bulk, without our written permission. We may limit, block, or remove submissions and accounts that we believe are automated, duplicative or abusive.
20Service emails
By registering you agree that we may email you about your account and your submissions or capacity profiles, including sign-in and security messages, status updates, reminders about unfinished drafts, unsigned NDAs and meetings not yet booked, periodic appetite check-ins, notices of new niches that fit an approved capacity profile, and referral thank-yous. These are part of the service, not marketing. You can stop reminder and digest emails by pausing your account; messages about security and about a submission being actively placed will continue.
21Governing law and disputes
These terms, and any dispute arising out of or relating to them or the Site, are governed by the laws of the State of Florida, without regard to its conflict of laws rules. Any such dispute will be brought only in the state or federal courts located in Hillsborough County, Florida, and you and we consent to the jurisdiction of those courts. To the extent permitted by law, you and we each waive any right to a jury trial.
22Changes
We may change the Site or these terms at any time. Changes take effect when posted, and the date at the top shows when they were last updated. If we make a material change, we will also let account holders know by email. Continued use of the Site after a change means you accept it.
23General
- Entire agreement. These terms, our Privacy Policy and any agreement you sign on the Site are the entire agreement between you and us about the Site. A separate written agreement signed by both parties prevails over these terms for the matters it covers.
- Severability. If any part of these terms is found unenforceable, it will be enforced to the extent possible and the rest will remain in effect.
- No waiver. If we do not enforce a provision, that is not a waiver of our right to do so later.
- Assignment. You may not transfer these terms without our written consent. We may transfer them to an affiliate or as part of a merger, acquisition or sale of assets.
- Survival. Sections 04, 06, 07, 11 to 13, 15 to 18, 21 and 23 continue after your use of the Site ends or your account is closed.
- Notices. We may give you notice by email to the address on your account or by posting on the Site. You may give us notice through our contact form or by mail to the address below.
- Relationship. Nothing in these terms creates a partnership, joint venture, agency or employment relationship.
